TERMS AND CONDITIONS
FOR PAYFX GLOBAL

Welcome to PayFX Global, a global payment facilitation and financial technology platform operated under PayFX Fintech Solutions Private Limited (“Company”, “we”, “our”, or “us”). PayFX Global is a brand and service offering of PayFX Fintech Solutions Private Limited and provides international payment processing, foreign exchange facilitation, cross-border remittance support, institutional payment settlement, and financial technology solutions across multiple jurisdictions.

These Terms and Conditions (“Terms”) govern your access to and use of the PayFX Global platform, websites, applications, APIs, payment gateways, software, and all associated services (collectively referred to as the “Platform”).

By accessing, registering with, or using the Platform, you acknowledge and agree that you have read, understood, and accepted these Terms in full. If you do not agree with these Terms, you must immediately discontinue use of the Platform and all associated services.

1. DEFINITIONS

For the purpose of these Terms and Conditions, the following terms shall have the meanings assigned below unless the context otherwise requires:

1.1 “PayFX Global”

Refers to the international payment and financial technology platform operated by PayFX Fintech Solutions Private Limited including all associated products, services, systems, applications, APIs, portals, software, payment gateways, and digital infrastructure.

1.2 “Company”

Refers to PayFX Fintech Solutions Private Limited, including its subsidiaries, affiliates, associates, officers, directors, employees, agents, technology partners, and authorized representatives.

1.3 “User” / “Customer” / “Payer”

Refers to any individual, student, parent, guardian, consultant, institution, healthcare entity, business organization, merchant, traveler, corporate client, or any legal entity accessing or using the Platform.

1.4 “Institution”

Refers to any university, college, educational institution, healthcare provider, hospital, business establishment, merchant, travel operator, or approved beneficiary receiving payments through the Platform.

1.5 “Bank/MSB/Financial Partner”

Refers to licensed banks, regulated financial institutions, payment processors, correspondent banking partners, or Money Service Businesses integrated with or associated with PayFX Global.

1.6 “Transaction”

Means any payment instruction, remittance, collection request, foreign exchange conversion, settlement request, recurring payment authorization, or financial activity initiated through the Platform.

1.7 “Platform”

Includes all websites, applications, APIs, dashboards, payment systems, mobile applications, software, communication systems, and digital interfaces owned, operated, or provided by PayFX Global.

1.8 “Applicable Laws”

Means all laws, regulations, guidelines, directions, circulars, sanctions requirements, anti-money laundering laws, foreign exchange regulations, and governmental requirements applicable in any jurisdiction relevant to the transaction or service.

2. ACCEPTANCE OF TERMS

  • You have the legal authority and capacity to enter into binding agreements.
  • You have read and understood these Terms.
  • You agree to comply with all applicable laws and regulations.
  • You consent to the electronic acceptance of these Terms.

If you are using the Platform on behalf of a company, institution, or another individual, you represent and warrant that you possess full authority to bind such entity or individual to these Terms.

PayFX Global reserves the right to deny access to any User who violates these Terms or any applicable law.

3. ELIGIBILITY

  • The User must be at least eighteen (18) years of age or possess legal contractual capacity under applicable laws.
  • The User must not be prohibited from using financial services under any applicable sanctions or regulatory restrictions.
  • The User must provide complete, accurate, current, and verifiable information.
  • The User must successfully complete all compliance, KYC, AML, and verification requirements requested by PayFX Global.

PayFX Global reserves the absolute right to reject or terminate access where the User fails to satisfy compliance or regulatory obligations.

4. SERVICES OFFERED

PayFX Global may provide the following services either directly or through regulated partners:

  • International student fee payments
  • Cross-border remittance facilitation
  • Foreign exchange conversion services
  • University and institutional payment settlements
  • Healthcare and hospital payment facilitation
  • Global merchant and business payments
  • Utility and recurring bill payment services
  • Education loan assistance and related financial services
  • Multi-currency collection accounts
  • Payment gateway integration services
  • Automated and recurring payment processing
  • International inward and outward remittance support
  • Payment reconciliation and reporting solutions
  • Virtual account solutions
  • API-based payment infrastructure

Availability of services may vary based on jurisdiction, regulatory approvals, banking partnerships, and operational limitations.

5. USER REGISTRATION AND ACCOUNT CREATION

To access certain services, Users may be required to create an account on the Platform.

  • Provide accurate and updated registration information.
  • Maintain confidentiality of login credentials.
  • Notify PayFX Global immediately of any unauthorized access or suspicious activity.
  • Accept responsibility for all activities conducted through their account.

PayFX Global reserves the right to suspend or terminate accounts that contain false, misleading, incomplete, or suspicious information.

6. KNOW YOUR CUSTOMER (KYC) AND COMPLIANCE

Users may be required to provide:

  • Passport or government-issued ID
  • Address proof
  • Banking information
  • Student admission letters
  • Invoice or institutional documents
  • Source of funds documentation
  • Tax identification information
  • Corporate registration documents
  • Additional compliance documents as requested

The Company may independently verify information, conduct sanctions screening, monitor transactions, request additional information, or reject transactions pending compliance review.

Failure to provide requested information may result in delays, suspension, cancellation, or termination of services.

7. PAYMENT PROCESS

7.1 Transaction Initiation

Users may initiate transactions using approved payment methods including bank transfer, wire transfer, online banking, debit/credit cards, local banking systems, UPI, payment gateways, and authorized financial partners.

The User is solely responsible for ensuring that payment instructions submitted are accurate.

7.2 Verification and Approval

Before processing any transaction, PayFX Global may validate User identity, verify beneficiary information, conduct sanctions and AML screening, confirm transaction purpose, and review supporting documentation.

Transactions may be delayed or rejected if compliance concerns arise.

7.3 Foreign Exchange Conversion

Foreign exchange rates displayed on the Platform are indicative and subject to fluctuation based on market conditions.

Final exchange rates shall be determined at the time of processing and may include currency conversion margins, banking charges, intermediary bank fees, government taxes, and regulatory charges.

PayFX Global does not guarantee specific exchange rates until the transaction is confirmed.

7.4 Settlement to Beneficiaries

Upon successful receipt and verification of funds, PayFX Global will process settlement to the designated beneficiary or institution.

Settlement timelines vary depending on jurisdiction, banking hours, intermediary banks, holidays, and compliance checks.

PayFX Global is not responsible for delays caused by third-party financial institutions or regulatory authorities.

8. USER OBLIGATIONS

  • Use the Platform only for lawful purposes.
  • Ensure all submitted information is true and accurate.
  • Maintain confidentiality of account credentials.
  • Comply with foreign exchange and taxation laws.
  • Cooperate with compliance and verification requests.
  • Avoid any fraudulent or suspicious activity.

Users acknowledge that misuse of the Platform may result in reporting to regulatory authorities.

9. PROHIBITED ACTIVITIES

  • Money laundering
  • Terrorist financing
  • Fraudulent activities
  • Sanctions violations
  • Illegal gambling
  • Unauthorized commercial activity
  • Identity theft
  • Cybercrime or hacking
  • Transmission of malicious software
  • Circumvention of compliance controls

PayFX Global reserves the right to investigate suspicious activity and cooperate with law enforcement authorities.

10. FEES, TAXES, AND CHARGES

Users agree to pay all applicable transaction fees, processing charges, banking fees, foreign exchange margins, intermediary bank charges, taxes including GST/VAT, and compliance-related charges.

Fees may vary based on transaction type, payment method, currency corridor, jurisdiction, or banking partner.

All charges are non-refundable unless otherwise specified.

11. REFUND POLICY

Refunds are subject to approval from the receiving institution or beneficiary, applicable banking procedures, compliance verification, regulatory approvals, and foreign exchange fluctuations.

Refunds may be processed to the original source account and after deduction of applicable fees and charges.

PayFX Global reserves the right to refuse refunds in cases involving fraud, regulatory restrictions, sanctions, or incomplete documentation.

12. AUTOMATED AND RECURRING PAYMENTS

By enrolling in recurring payment services, the User authorizes PayFX Global to automatically debit or process payments using the designated payment method.

Recurring payments may continue until cancelled, and failed payments due to insufficient funds or expired payment methods remain the User’s responsibility.

PayFX Global shall not be liable for failed recurring payments caused by banking or technical issues.

13. DATA PRIVACY AND SECURITY

PayFX Global implements commercially reasonable safeguards and security protocols to protect User data.

By using the Platform, Users consent to collection of personal and transactional information, cross-border transfer of information, storage and processing by authorized providers, and compliance monitoring measures.

While security measures are maintained, Users acknowledge that no electronic transmission or storage method is entirely secure.

14. INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights relating to the Platform including software, trademarks, logos, brand names, website content, APIs, designs, and databases are owned by or licensed to PayFX Fintech Solutions Private Limited.

Users shall not reproduce, modify, distribute, reverse engineer, or commercially exploit any content without prior written permission.

15. THIRD-PARTY SERVICES

The Platform may integrate with banks, financial institutions, educational institutions, payment processors, APIs, and technology providers.

PayFX Global does not guarantee uninterrupted availability of third-party services and shall not be liable for failures attributable to such providers.

16. DISCLAIMER OF WARRANTIES

The Platform and services are provided on an “AS IS” and “AS AVAILABLE” basis.

PayFX Global makes no warranties regarding continuous availability, error-free operation, accuracy of third-party information, suitability for specific purposes, or uninterrupted processing.

Users assume all risks associated with use of the Platform.

17. LIMITATION OF LIABILITY

To the fullest extent permitted by law, PayFX Global and PayFX Fintech Solutions Private Limited shall not be liable for indirect damages, consequential losses, currency fluctuation losses, business interruption, data loss, delayed settlements, banking failures, regulatory actions, or technical disruptions.

The Company’s aggregate liability shall not exceed the fees paid by the User for the specific transaction giving rise to the claim.

18. INDEMNIFICATION

Users agree to indemnify and hold harmless PayFX Global, PayFX Fintech Solutions Private Limited, and its directors, officers, employees, affiliates, and partners against claims, damages, losses, liabilities, costs, and expenses arising from violation of these Terms, fraudulent activities, regulatory breaches, misrepresentation, unauthorized transactions, or third-party claims arising from User conduct.

19. SUSPENSION AND TERMINATION

PayFX Global may suspend, restrict, or terminate access to the Platform for compliance reasons, suspicious activity, regulatory instructions, violation of these Terms, or to protect platform security.

Termination shall not affect outstanding obligations or liabilities accrued prior to termination.

20. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of India.

All disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Where international regulatory obligations apply, Users additionally agree to comply with the laws of the relevant jurisdictions.

21. FORCE MAJEURE

PayFX Global shall not be liable for failure or delay in performance caused by events beyond reasonable control including natural disasters, war, government actions, regulatory restrictions, banking system failures, cyber attacks, power outages, internet disruptions, or pandemic events.

22. MODIFICATIONS TO TERMS

PayFX Global reserves the right to revise or update these Terms at any time.

Updated Terms shall become effective immediately upon publication on the Platform.

Continued use of the Platform constitutes acceptance of revised Terms.

23. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain valid and enforceable.
